Chapter 1 General Provisions

Article 1 (Application of Terms and Conditions)

In accordance with the terms and conditions set forth in this agreement, our shop shall rent motorcycles, bicycles, and electric kickboards (hereinafter referred to as the “Rental Vehicles”) to the renter, and the renter shall rent them accordingly.
Any matters not stipulated in this agreement shall be governed by applicable laws and general customs.

2. Our shop may add special provisions to the extent that they do not contradict the spirit of these terms and conditions, laws and regulations, administrative notices, and general customs. In the event of a special provision, that special provision shall take precedence over these terms and conditions.

Chapter 2: Reservations

Chapter 2 (Reservation Application)

1. When renting a rental motorcycle, the renter may apply for a reservation by agreeing to the terms and conditions posted on our website or at our shop, as well as the separately stipulated price list, and by specifying the vehicle, rental start date and time, rental location, rental period, return location, driver, whether accessories such as helmets are required, and other rental conditions (hereinafter referred to as "rental conditions") in advance, using the separately stipulated method.

2. When a reservation application is received from a renter, our shop will, in principle, accept the reservation within the scope of the rental motorcycles we own. In this case, the renter shall pay a reservation application fee separately stipulated by our shop if deemed necessary.

Article 3 (Reservation Changes)

If the renter wishes to change the rental conditions in Article 1, Paragraph 1, the renter must obtain our shop's prior consent.

Article 4 (Reservation Cancellation, etc.)

1. The renter may cancel a reservation with our shop using the separately stipulated method.

2. If the renter fails to initiate the rental motorcycle rental agreement (hereinafter referred to as the "Rental Agreement") procedures within one hour of the reserved rental start time due to the renter's circumstances, the reservation will be deemed cancelled.

3. When a reservation is cancelled due to the renter's circumstances, our shop will apply the received reservation deposit to the cancellation fee.

4. When a reservation is cancelled due to our shop's circumstances, or when the Rental Agreement is not concluded due to our shop's circumstances, our shop will refund the received reservation deposit.

5. If the Rental Agreement is not concluded due to an accident, theft, non-return, recall, natural disaster, or other reason beyond the control of either the renter or our shop, the reservation will be deemed cancelled. In this case, our shop will refund the received reservation deposit.

Article 5 (Alternative Rental Motorcycles)

1. If our shop is unable to provide the rental motorcycle of the model reserved by the renter, we may offer to provide a rental motorcycle of a different model (hereinafter referred to as the "alternative rental motorcycle").

2. If the renter accepts the offer in the preceding paragraph, our shop will provide the alternative rental motorcycle under the same rental conditions as at the time of reservation, except for the model. If the rental fee for the alternative rental motorcycle is higher than the rental fee for the reserved model, the rental fee for the reserved model will apply. If the rental fee is lower than the rental fee for the reserved model, the rental fee for the alternative rental motorcycle will apply.

3. The renter may refuse the offer to provide the alternative rental motorcycle in paragraph 1 and cancel the reservation.

4. In the case of the preceding paragraph, if the reason for being unable to provide the rental motorcycle in paragraph 1 is attributable to our shop, it will be treated as a cancellation of the reservation under Article 4, paragraph 4, and our shop will refund the reservation deposit received.

5. In the case of paragraph 3, if the reason for the inability to provide the rental as stipulated in paragraph 1 is not attributable to our shop, it will be treated as a cancellation of the reservation as stipulated in Article 4, paragraph 5, and our shop will refund the reservation deposit received.

6. The renter shall not be entitled to claim any damages from our shop arising from the inability to use the rental motorcycle or substitute rental motorcycle.

Article 6 (Disclaimer)

Except as provided in Articles 4 and 5, neither our shop nor the renter shall make any claims against each other regarding the cancellation of the reservation or the failure to conclude a rental agreement.

Chapter 3 Rental

Article 8 (Conclusion of Rental Agreement)

1. The renter shall clearly state the rental conditions stipulated in Article 2, paragraph 1, and our shop shall clearly state the rental conditions using these terms and conditions, price list, etc., and conclude a rental agreement. However, this does not apply if there are no rental motorcycles available for rent or if the renter or driver falls under any of the items in Article 9, paragraph 1 or 2.

2. Upon concluding a rental agreement, the borrower shall pay the rental fee specified in Article 11, Paragraph 1 to our store.

3. When concluding a rental agreement, our store will request the borrower to present the driver's license of the driver designated by the borrower (hereinafter referred to as "the driver") and to submit a copy thereof. In this case, if the borrower is the driver, the borrower shall present their own driver's license and submit a copy thereof; if the borrower and the driver are different, the borrower shall present the driver's license and submit a copy thereof.
When concluding a rental agreement, our store may request the borrower and the driver to present other documents that can verify their identity in addition to their driver's license, and may make copies of the submitted documents.

4. When concluding a rental agreement, our store will request the borrower and the driver to provide a mobile phone number or other contact information for communication during the rental period.

5. When concluding a rental agreement, our shop may request payment from the renter in cash or by credit card, or may specify other payment methods.

Article 9 (Refusal to Conclude a Rental Agreement)

1. A rental agreement cannot be concluded if the renter or driver falls under any of the following categories:

(1) Failure to present a driver's license necessary for operating the rental motorcycle.

(2) Appearance to be under the influence of alcohol.

(3) Appearance to be exhibiting symptoms of intoxication from narcotics, stimulants, thinner, etc.

(4) Appearance to be a member or associate of a yakuza group, a yakuza-related organization, or any other anti-social organization.

2. Our shop may refuse to conclude a rental agreement if the renter or driver falls under any of the following categories:

(1) The driver specified at the time of reservation is different from the driver at the time of concluding the rental agreement.

(2) A history of defaulting on rental fee payments in past rentals.

(3) When any of the acts listed in each item of Article 17 have occurred in a past rental.

(4) When any of the acts listed in Article 18, Paragraph 6 or Article 23, Paragraph 1 have occurred in a past rental (including rentals by other rental motorcycle businesses).

(5) When the conditions specified separately are not met.

(6) When the shop deems it otherwise inappropriate.

3. In the cases of the preceding two paragraphs, if a reservation has already been made with the renter, it will be treated as a cancellation of the reservation, and if the renter pays a reservation cancellation fee, the reservation deposit received will be refunded to the renter.

4. If the driver carries a passenger, a period of one year or more after obtaining a motorcycle license is required, and if driving on an expressway, a period of three years or more is required. Therefore, a rental agreement cannot be made with a driver who has not met these respective periods.

Article 10 (Formation of Rental Agreement, etc.)

A rental agreement shall be formed when the renter pays the rental fee to the shop and the shop delivers the rental motorcycle to the renter. In this case, the reservation deposit already received will be applied as part of the rental fee.

The handover mentioned in the preceding paragraph shall take place at the rental location specified in Article 2, Paragraph 1, at the rental start date and time specified in the same paragraph.

Article 11 (Rental Fees)

1. The rental fees received by our company shall be in accordance with the price list that has been submitted to and implemented by the Director of the Army Branch of the Regional Transport Bureau and the Director of the Land Transport Office of the Okinawa General Affairs Bureau at the time of rental.

2. Rental fees refer to the total amount of the basic fee, liability waiver insurance fee, option fees, and other fees, and our company will clearly indicate the amount or calculation basis of each in the price list.

3. If the rental fees are revised after a reservation has been made pursuant to Article 2, the fees applied at the time of reservation shall apply.

Article 12 (Changes to Rental Conditions)

If the renter wishes to change the rental conditions specified in Article 8, Paragraph 1 after the conclusion of the rental agreement, the renter must obtain our company's prior consent. Our shop may refuse to approve changes to the rental conditions as stipulated in the preceding paragraph if such changes would disrupt our rental operations.

Article 13 (Changes to Rental Conditions)

If the renter wishes to change the rental conditions stipulated in Article 8, Paragraph 1 after concluding the rental agreement, they must obtain our shop's prior approval. Our shop may refuse to approve changes to the rental conditions as stipulated in the preceding paragraph if such changes would disrupt our rental operations.

Article 14 (Inspection, Maintenance, and Confirmation)

1. Our shop will rent out rental motorcycles that have undergone inspections as stipulated in Article 48 (Periodic Inspection and Maintenance) of the Road Transport Vehicle Act and have had necessary maintenance performed. Our shop will also perform inspections as stipulated in Article 47-2 (Daily Inspection and Maintenance) of the Road Transport Vehicle Act and have had necessary maintenance performed.

2. The renter or driver shall inspect the engine, equipment, exterior, and accessories of the vehicle before operation to confirm that the rental motorcycle is free from maintenance defects and that it otherwise meets the rental conditions.

Article 15 (Issuance and Carrying of Rental Certificate)

When we deliver a rental motorcycle, we will issue a prescribed rental certificate containing the matters specified by the Director of the Regional Transport Bureau to the renter or driver.

The renter or driver must carry the rental certificate issued pursuant to the preceding paragraph while using the rental motorcycle. If the renter or driver loses the rental certificate, they must immediately notify our shop.

Chapter 4 Use

Article 16 (Management Responsibility)

The renter or driver shall use and store the rental motorcycle with the due care of a prudent manager from the time of delivery until its return to our shop (hereinafter referred to as "during use").

Article 17 (Daily Inspection and Maintenance)

The renter or driver shall, during use, perform the inspection stipulated in Article 47-2 (Daily Inspection and Maintenance) of the Road Transport Vehicle Act before each day of use, and shall carry out necessary pre-operation inspections. Article 17 (Prohibited Acts)
The renter or driver shall not engage in the following acts during use:

(1) Using the rental motorcycle for motor transport business or similar purposes without our consent and permission under the Road Transport Act.

(2) Using the rental motorcycle for purposes other than those specified, or allowing anyone other than the driver listed on the rental agreement under Article 8, Paragraph 3, or anyone approved by our company, to drive it.

(3) Subleasing the rental motorcycle, or using it as collateral, or engaging in any other act that infringes our rights.

(4) Forging or altering the vehicle registration plate or vehicle identification number plate of the rental motorcycle, or modifying or altering the rental motorcycle, or otherwise changing its original condition.

(5) Using the rental motorcycle for various tests or competitions, or for towing or pushing other vehicles, without our consent.

(6) Using the rental motorcycle in violation of laws or public order and morals.

(7) Taking out damage insurance on the rental motorcycle without our consent. (8) Taking a rental motorcycle outside of Okinawa Main Island. *This includes remote islands that can only be reached by ferry, etc.

(8) In addition, if any act that violates the Penal Code falls under Article 23, our shop may initiate legal proceedings.

Article 18 (Measures in Case of Illegal Parking, etc.)

Chapter 5: Return

Article 19 (Responsibility for Return)

1. The renter or driver shall return the rental motorcycle to our shop at the designated return location by the end of the rental period.

2. If the renter or driver violates the provisions of the preceding paragraph, they shall compensate our shop for all damages incurred.

3. If the renter or driver is unable to return the rental motorcycle within the rental period due to natural disaster or other force majeure, they shall not be liable for any damages incurred by our shop. In this case, the renter or driver shall immediately contact our shop and follow our instructions.

Article 20 (Confirmation upon Return, etc.)

1. The renter or driver shall return the rental motorcycle in the presence of our shop staff. In this case, the motorcycle shall be returned in the same condition as when it was delivered, excluding parts worn out by normal use.

2. Our shop shall confirm the condition of the rental motorcycle in the presence of the renter upon return.

3. The renter or driver shall confirm that there are no personal belongings of the renter, driver, or passenger left inside the rental motorcycle upon return. Our shop shall not be responsible for the safekeeping of any personal belongings left behind after the return of the rental motorcycle.

Article 21 (Rental Fees When Changing the Rental Period)

1. When the renter or driver changes the rental period pursuant to Article 12, Paragraph 1, they shall pay the lower of either the rental fee corresponding to the changed rental period or the excess fee.

2. If the rental period is extended without permission, an excess fee as separately stipulated will be charged.

Article 22 (Return Location, etc.)

1. When the renter or driver changes the designated return location pursuant to Article 12, Paragraph 1, they shall bear the costs of transportation required due to the change in return location.

2. If the borrower or driver returns the rental motorcycle to a location other than the designated return location without obtaining the store's consent as stipulated in Article 12, Paragraph 1, the borrower or driver shall pay the following penalty for changing the return location: (Penalty for changing the return location = Cost of transportation required due to the change in return location × 300%)

Article 23 (Measures in case of non-return)

1. If the borrower or driver fails to return the rental motorcycle to the designated return location despite the expiration of the rental period, and does not respond to the store's request for return, or if the store determines that the motorcycle has not been returned for reasons such as the borrower's whereabouts being unknown, the store may take legal action, such as filing a criminal complaint.

2. If the situation described in the preceding paragraph occurs, the store will take necessary measures to confirm the location of the rental motorcycle, including conducting interviews with the borrower's or driver's family, relatives, workplace, and other related parties, activating the vehicle location information system, and posting notices at the store and on the website. The borrower shall not be entitled to make any claims against our store for any damages whatsoever, including but not limited to defamation or damage to reputation, interference with business, or infringement of rights, in response to these measures taken by our store.

Chapter 6: Measures in Case of Breakdown, Accident, Theft, etc.

Article 24 (Measures upon Discovery of Breakdown)

If the borrower or driver discovers any abnormality or malfunction in the rental motorcycle during use, they shall immediately stop driving, contact our store, and follow our instructions.

Article 25 (Measures in Case of Accident)

1. If an accident involving the rental motorcycle occurs during use, the borrower or driver shall immediately stop driving, take legal measures regardless of the severity of the accident, and take the following measures:

(1) Immediately report the details of the accident to our store and follow our instructions.

(2) If repairs to the rental motorcycle are to be carried out based on the instructions in the preceding paragraph, the repairs shall be carried out by our store unless otherwise approved by our store.

(3) Cooperate with the investigation by our store and the insurance company with which our store has a contract regarding the accident, and submit necessary documents without delay.

(4) When reaching a settlement or other agreement with the other party or a third party regarding an accident, the borrower must obtain prior consent from our store.

2. In addition to taking the measures in the preceding paragraph, the borrower or driver shall handle and resolve the accident at their own responsibility.

3. Our store will provide advice to the borrower or driver regarding the handling of the accident and will cooperate in its resolution.

Article 26 (Measures in Case of Theft)

If the rental motorcycle is stolen or otherwise damaged during use, the renter or driver shall take the following measures:

(1) Immediately report the incident to the nearest police station.

(2) Immediately report the details of the damage to our shop and follow our instructions.

(3) Cooperate with the investigation by our shop and the insurance company contracted by our shop regarding the theft or other damage, and submit any requested documents without delay.

Article 27 (Termination of Rental Agreement Due to Unusability)

1. If the rental motorcycle becomes unusable due to malfunction, accident, theft, or other reasons (hereinafter referred to as "malfunction, etc.") during use, the rental agreement shall be terminated.

2. In the case of the preceding paragraph, the renter or driver shall bear the costs required for the retrieval and repair of the rental motorcycle, and our shop shall not refund any rental fees already received. However, this shall not apply if the malfunction, etc. is due to the reasons specified in paragraph 3 or 5.

3. If a malfunction or other problem occurs due to a defect that existed before the rental, a new rental agreement will be concluded, and the renter may receive a replacement rental motorcycle from our shop. The conditions for providing a replacement rental motorcycle shall be governed by Article 5, Paragraph 2.

4. If the renter does not accept the replacement rental motorcycle as described in the preceding paragraph, our shop will refund the full amount of the rental fee already received. The same applies if our shop is unable to provide a replacement rental motorcycle.

5. If a malfunction or other problem occurs due to reasons not attributable to the renter, driver, or our shop, our shop will refund the renter the remaining amount after deducting the rental fee corresponding to the period from the start of the rental to the termination of the rental agreement from the rental fee already received.

6. The renter or driver shall not be entitled to make any claims against our shop other than those stipulated in this article for damages arising from reasons not attributable to the renter, driver, or our shop.

Chapter 7: Compensation and Indemnification

Article 28 (Compensation and Business Compensation)

1. If the lessee or driver causes damage to a third party or our shop while using the rented motorcycle, the lessee or driver shall compensate for such damage. However, this shall not apply in cases where the damage is solely attributable to our shop.

2. Of the damages to our shop as described in the preceding paragraph, damages resulting from accidents, theft, malfunctions attributable to the lessee or driver, soiling or odor of the rental motorcycle, etc., which prevent our shop from using the rental motorcycle, shall be determined according to the price list, and the lessee or driver shall pay these.

Article 29 (Insurance and Indemnification)

1. When the lessee or driver is liable for compensation under Article 28, Paragraph 1, insurance or compensation payments will be made within the following limits, based on the damage insurance contract concluded by our shop for the rental motorcycle and our shop's compensation system.

　 Unlimited coverage per person (including compulsory automobile liability insurance)

(2)Property Damage Liability
　 Unlimited coverage per accident (Deductible: ¥50,000)

(3)Passenger Injury Coverage
　 Unlimited coverage per accident

[Bicycles]

(1)Combined Single Limit (CSL) for Bodily Injury and Property Damage
　 Up to ¥100,000,000

(2)Comprehensive Injury Insurance (Traffic Accident Coverage Only)
　 Death / Permanent Disability Coverage: ¥1,000,000
　 Injury Medical Expense Coverage: ¥300,000

2. If the case falls under the exclusion clauses of the insurance policy or compensation system, the insurance or compensation specified in paragraph 1 will not be paid.

3. If the rental agreement is violated, or if any of the following applies, the insurance or compensation specified in paragraph 1 will not be paid.

(1) If the renter or driver fails to report the accident to the competent police station and it is impossible to submit an accident report.

(2) An accident involving a vehicle accompanying the renter.

(3) An accident caused by reckless driving, suicide attempts, insufficient driving skills, etc.

(4) If the accident report is made more than 7 days after the accident occurred. (5) In the event of false reporting of an accident.

4. Damages for which insurance or compensation payments are not made, and damages exceeding the insurance or compensation payments made pursuant to Paragraph 1, shall be borne by the renter or driver. However, if the limit in Paragraph 1 is changed by special agreement, damages exceeding the limit set forth in the special agreement shall be borne by the renter or driver.

5. If our shop pays damages that should be borne by the renter or driver, the renter or driver shall immediately reimburse our shop for the amount paid.

6. Damages equivalent to the deductible amount for insurance or compensation as stipulated in Paragraph 1, Item 2, shall be borne by the renter or driver, except in cases where a special agreement has been made.

7. Even if the rental motorcycle is covered by vehicle insurance, if the rental motorcycle malfunctions or is damaged due to an accident attributable to the renter or driver, the renter or driver shall bear the full cost of the damages.

Chapter 8: Termination of Rental Agreement

Article 30 (Termination of Rental Agreement)

If the renter or driver violates these terms and conditions during use, or if any of the conditions in Article 9, Paragraph 1 apply, our shop may terminate the rental agreement without any reason or notice and immediately demand the return of the rental motorcycle. In this case, our shop will not refund any rental fees already received from the renter.

Article 31 (Early Termination)

The renter may terminate the rental agreement even during use with the consent of our shop. In this case, our shop will not refund any rental fees already received, except in cases where separately stipulated provisions apply.

Chapter 9 Miscellaneous Provisions

Article 32 (Set-off)

If our company has a monetary claim against the borrower or driver under these terms and conditions, we may set it off at any time against the borrower's or driver's monetary claim against our company.

Article 33 (Consumption Tax)

The borrower or driver shall pay to our company the consumption tax (including local consumption tax) levied on transactions under these terms and conditions.

Article 34 (Late Payment Penalties)

If either the borrower or driver or our company fails to perform their monetary obligations under these terms and conditions, they shall pay the other party late payment penalties at an annual rate of 14.6%.

Article 35 (Japanese and English Terms and Conditions)

In the event of any discrepancy between the Japanese and English terms and conditions, the Japanese terms and conditions shall prevail.

Article 36 Article (Detailed Regulations)

1. Our store may separately establish detailed regulations for these terms and conditions, and such detailed regulations shall have the same effect as these terms and conditions.

2. When our store establishes separate detailed regulations, we will post them at our business premises and include them in the price list or on our website, etc. The same shall apply if these regulations are changed.

Article 37 (Agreed Jurisdiction)

In the event of a dispute arising regarding the rights and obligations under these terms and conditions, regardless of the amount in dispute, the summary court or district court having jurisdiction over the location of our head office shall be the court of first instance.

Supplementary Provisions
These Terms and Conditions shall come into effect on April 1, 2023.
